These terms and conditions ("Terms") outline the agreement between Panopics360 ("Provider") and the client ("Client") regarding the Extended Virtual walkthrough service. By accepting the service, the Client agrees to be bound by these Terms. It is important to carefully read and understand these Terms before proceeding with the Extended Virtual walkthrough project.
Service Description
The Extended Virtual walkthrough service provided by Panopics360 includes the creation and hosting of an immersive and interactive virtual tour for the Client's property. The virtual tour may consist of High-quality 360º Panorama Image and listing information, integrated into a comprehensive online presentation.
Project Scope
The scope of the Extended Virtual walkthrough service will be determined based on the package or custom arrangement agreed upon by the Client and Panopics360. The specific deliverables, features, and pricing will be outlined in the service agreement or proposal.
Client Responsibilities
The Client is responsible for providing accurate and detailed information about the property to ensure the virtual tour accurately represents the property's features and characteristics. The Client should also ensure that the property is properly prepared, staged, and ready for 360º Panorama photography, audio recording, and other on-site services at the scheduled appointment time.
Payment Terms
The Client agrees to the payment terms as specified in the service agreement or invoice provided by Panopics360. Payment is typically required before or on the designated deadline. Accepted payment methods may include cash, cheque or credit card, as specified by Panopics360.
Hosting, Security, and Access
Upon completion, Panopics360 will provide the Client with a designated link to access and share the hosted Extended Virtual walkthrough. The hosting period will be up to 1 year from the publication date. Panopics360 takes web security seriously and employs industry-standard measures to protect the Extended Virtual walkthrough and associated data from unauthorized access, hacking, or data breaches. However, the Client acknowledges that no system is completely immune to security risks, and Panopics360 cannot guarantee absolute security. It is the Client's responsibility to maintain the confidentiality of access credentials and inform Panopics360 immediately if any suspicious activity or unauthorized access is detected.
Durability and Guarantee
Panopics360 will provide a 1 year guarantee for the data of an Extended Virtual walkthrough. During this period, the Extended Virtual walkthrough data is kept and returned to the client at any time upon request.
Usage Rights and Copyright
The Client is granted a limited license to use the Extended Virtual walkthrough content for marketing purposes associated with the current sale or promotion of the photographed property, in accordance with local MLS (multiple listing service) rules. However, usage of the content by third parties, including architects, builders, stagers, designers, sellers, or buyers, is prohibited without prior written approval from Panopics360. Copyright for all works produced during the Extended Virtual walkthrough, including photos, graphics, floor plans, and other artistic and intellectual property, remains with equal Partnership Panopics360.
Extension and Additional Services
Clients may have the option to extend the hosting period of the virtual tour beyond the initial 1-year timeframe by paying an extension fee as specified by Panopics360. Additionally, clients may request additional services beyond the scope of the Extended Virtual walkthrough, such as customizations or special features. These additional services will be subject to separate terms, pricing, and timeline, as agreed upon between the Client and Panopics360.
Liability and Indemnification
Panopics360 will exercise reasonable care and skill in providing the Extended Virtual walkthrough service. However, the Client acknowledges that Panopics360 shall not be liable for any direct, indirect, incidental, or consequential damages arising from the use or reliance on the virtual tour or any related services. The Client agrees to indemnify and hold Panopics360 harmless from any claims, losses, damages, liabilities, costs, or expenses incurred as a result of the Client's use of the virtual tour or breach of these Terms.
Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Panopics360 is based. Any disputes arising from these Terms or the Extended Virtual walkthrough service shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
By accepting the Extended Virtual walkthrough service from Panopics360, the Client acknowledges and agrees to these Terms and conditions. These Terms constitute the entire agreement between the Client and Panopics360 and supersede any prior agreements or understandings, whether written or verbal, relating to the Extended Virtual walkthrough service.
